Terms of Service

These Terms of Service ("Terms") govern access to and use of the Masterz omnichannel CRM platform (the "Service") provided by Masterz ("we", "us"). By creating an account or otherwise using the Service, you ("Customer") agree to these Terms.

1. The Service

The Service unifies inbound and outbound messaging across Facebook Messenger, Instagram Direct, WhatsApp Business, public Facebook and Instagram comments, and SIP phone calls into a single interface for the Customer's support and engagement teams. Optional features include AI-assisted replies, knowledge-base ingestion, and call recording / transcription.

2. Account, eligibility, and acceptable use

• You must be at least 18 years old and able to enter into a binding contract.
• You are responsible for keeping your account credentials confidential and for all activity under your account.
• You may not use the Service to (a) send unsolicited messages in violation of applicable law (CAN-SPAM, GDPR, TCPA), (b) impersonate another person or entity, (c) reverse-engineer or attempt to gain unauthorized access, (d) violate Meta's Platform Terms or any other channel provider's terms, or (e) process special-category personal data (health, biometric, government IDs) without our prior written consent.
• You are responsible for obtaining lawful consent from your End Users for the processing carried out via the Service.

3. Customer responsibilities

Because the Service is multi-tenant and you act as the data controller for your End Users:

• You must publish your own privacy notice describing your processing.
• You must respect End-User opt-out requests on each channel.
• You are responsible for the content of messages your agents (or AI configured by you) send through the Service.
• If you connect an AI configuration, you are responsible for the prompts and the knowledge-base content. We do not pre-screen AI output.

4. Third-party services

The Service depends on Meta Platforms (Facebook Messenger, Instagram Graph API, WhatsApp Business Platform), OpenAI, and any WAHA / SIP providers you elect to connect. Use of those services is subject to their own terms. The Service is provided "as is" with respect to outages, rate limits, or policy changes by those providers.

5. Subscription, billing, and trial

• The Service offers a free trial period (currently 14 days) and paid plans with stated limits on users, channels, messages, and AI replies.
• Paid plans are billed monthly or annually in advance.
• Plan downgrades take effect at the end of the current billing cycle. Cancellations take effect at the end of the current billing cycle; we do not refund partial months unless required by law.

6. Confidentiality

Each party will protect the other's confidential information with the same care it uses to protect its own (and at least reasonable care). Customer data is treated as Customer's confidential information.

7. Intellectual property

The Service, including the software, design, and documentation, is the property of Masterz and its licensors. Customer retains all rights in the data and content it submits to the Service. By using the Service, Customer grants us a limited, non-exclusive license to host, transmit, and process that content solely to provide the Service.

8. Termination

• You may terminate your account at any time by contacting hello@masterz.me.
• We may suspend or terminate your account for material breach of these Terms, for non-payment, or to comply with law.
• Upon termination, your data will be deleted within 30 days, subject to our retention obligations for audit logs and legal compliance.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which Masterz is incorporated, without reference to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
